Byron Allen’s Entertainment Studios Acquires The Weather Channel TV Network For $300 Million

Nellie Andreeva and Mike Fleming Jr
March 22, 2018

Byron Allen continues to expand his Entertainment Studios media holdings with the purchase of The Weather Channel basic cable TV network. Through his company Allen Media, Allen has acquired the Weather Group, parent company of The Weather Channel TV network and Local Now streaming service, from The Blackstone Group, Bain Capital and Comcast/NBCUniversal.

No dollar figure has been revealed, but according to sources the purchase price was around $300 million.

“The Weather Channel is one of the most trusted and extremely important cable networks, with information vitally important to the safety and protection of our lives,” said Byron Allen, Founder, Chairman, & CEO of Entertainment Studios. “We welcome The Weather Channel, which has been seen in American households for nearly four decades, to our cable television networks division. The acquisition of The Weather Channel is strategic, as we begin our process of investing billions of dollars over the next five years to acquire some of the best media assets around the world.”

Allen, a comedian-turned-entrepreneur, has been growing his Entertainment Studios, which became the largest independent producer of first-run syndicated programming. In 2009, Allen launched six 24-hour HD television networks: Pets.TV, Comedy.TV, Recipe.TV, Cars.TV, ES.TV, and MyDestination.TV.

In the past few years he has also emerged as an indie film producer and distributor acquiring Freestyle Releasing in 2015. His recently movie successes include 47 Meters Down and Scott Cooper’s Hostiles, and his 2018 pics via Entertainment Studios Motion Pictures include Toronto Film Festival buys Chappaquiddick and Replicas.

With the acquisition of The Weather Channel and Local Now, Allen now expands into live and local cable news. The Entertainment Studios divisions now include broadcast television syndication, production, and distribution of more than 41 programs; eight 24/7 cable television networks; theatrical motion picture production, acquisition and distribution; digital movie acquisition and distribution; and global news publishing – making Entertainment Studios one of the largest privately held media companies in the world.

Entertainment Studios is 100% owned by Allen, who started the company from his dining room table 25 years ago.

Bain Capital and NBCU bought The Weather Company from Landmark Communications in 2008 for around $3.5 billion before selling off the company’s digital assets for more than $2 billion to IBM in 2015, including the popular Weather.com wesitbe, which carries the Weather Channel name.

The Weather Channel is widely distributed, available in roughly 88 million U.S. homes. Like most basic cable channels, it has struggled with ratings declines due to cord-cutting. Despite partial NBCU ownership, Weather Channel has faced challenges as a stand-alone network with limited leverage in carriage negotiations with distributors, and has faced competition from upstart rival AccuWeather. The Weather Channel also has been affected by people’s growing reliance on the Internet and mobile devices for weather updates.

The Weather Channel had been for sale before. In 2016, Sinclair Broadcast Group reportedly was in talks with its owners, offering to acquire the channel for $100 million.

Following the acquisition by NBCU and Bain Capital, The Weather Channel experimented with longer-form programming and big-name talent, like Today’s Al Roker and Good Morning America‘s Sam Champion, before recently refocusing on its bread-and-butter forecast-based lineup.

“We are excited to join Entertainment Studios, and we are especially proud to be part of one of the largest emerging global media companies,” said Dave Shull, CEO of The Weather Channel. “Byron Allen’s purchase of our innovative and forward-thinking organization will increase the value we bring to our viewers, distributors, and advertisers.”

Allen’s acquisition of The Weather Channel through his wholly-owned Allen Media LLC was represented by the law firms Sklar Kirsh, Nelson Mullins, and Loeb & Loeb. The Weather Channel was represented in the transaction by the law firms Ropes & Gray and Jones Day, and its financial advisors included Morgan Stanley, Allen & Company, and PJT Partners.

"No dollar figure has been revealed, but according to sources the purchase price was around $300 million."

Anybody see a problem there?  Even if you discount the sale to IBM, that still leaves over a billion dollar loss in this deal.

The channel has been a joke for so long a comedian finally bought it.

Does this mean we can return to having only hurricanes named, and not every snowflake, rain drop and anything else that the geniuses over in PR come up with?

Believe it or not, the US Postal System's web site actually references TWC's storm names in banners when making excuses for delays..... #-o

It might have to do with the "alternate" programming shows instead of showing the weather.

Yeah, I know what you mean.  But if you search Youtube, you can find some funny stuff that Fred Willard did for Real People.  He was on there more than I remembered.

Hopefully this means that The Weather Channel will return to it's roots, the weather.   I Still like the fact that WeatherNation TV does just weather nothing else, there only problem is they don't have enough field reporters & photojournalists.

The question is, will "Entertainment Studios" focus on weather or more entertainment programing...   I Hope it focuses on the weather!

TWC filled a niche at the time. There was nothing else like it and weather junkies ate it up.
Over the years with the proliferation of  internet weather sites us weather junkies began to turn else where. Viewership went down so TWC had to grab those fringe customers by doing other things besides weather, thus alienating us even more. Nowadays with the weather in the palm of your hand with smart phones TWC isn't even in the discussion any more.
I suspect eventually Weathernation  will go out of business.  The time has come and past for something like this. I know my self I have Weathernation on cable but I never watch it. I have everything I need in the palm of my hand.

Has this not been the inevitable circumstances that have transpired with any 'niche' television channel? As an example, The History Channel now has half of their programs with reality program, where 10 years ago, they were primarily a documentary-based channel. AMC used to be a channel dedicated to classic American films (hence the name American Movie Classics), yet now for several years they have produced their own shows.

Inevitably, it seems that as the competition to gain viewers grows more intense, and different methods of watching television become more available, these niches get pushed aside toward topics that loosely fit the channel's long-standing identification for a more general audience.

During severe wx outbreaks, TWC still does a job. I find it's easier to watch on tv than screwing around with everything else during these times, but I still go on-line if I want something of more detail.
Otherwise.....

Only if it bleeds big.

I remember when the 'big one' hit Birmingham, AL a few years back.  The coverage focused there and stopped everywhere else, despite the fact that storms were still raging and doing damage.  Little towns aren't as newsworthy to TWC, no matter how much they suffer in damage and injuries.

Odd thing.  About the same time as this one focused on documentaries, there was another channel called 'Real TV' or something similar that ran 'real videos' from all over the world.  Stuff you couldn't see anywhere else at the time.  They must have been before their time as they vanished into obscurity.

Heck, even during severe weather I don't watch on TV. During a hurricane or severe outbreak there is nothing the TV can tell me I don't already know. I can see the hook echo on Radarscope long before it's mentioned on the tube. I know where that hurricane or tropical storm is going before it hits the airwaves. But that's just me. I know my wife is glued to the TV during hurricane coverage. Me, I'm outside enjoying it. :-)

If I were possibly IN the path of severe weather, I'd NEVER rely on TWC. I merely tune in when I'm not the one effected. As far as being aware, I spend more time wx watching on-line and my own PWS than I care to admit.

In reply to Ocala, another factor may be the arrival of HDTV, with the ability to run a couple of lower resolution channels off the same frequency assignment.

When it was analogue, you had one channel and that was it, and very expensive (not that the new equipment is cheap) to have that one channel on the air.

Now the big players have loaded two to six separate programs onto the same transmitter, and having the radar loop along with the last program presentation by their "chief" meteorologist is easy and a local crowd pleaser.  So why would someone looking for the local forecast or the recent radar during violent weather on a nationally beamed channel which at best shows you a limited amount of info that rotates into view once every 5 - 15 minutes.  And if there are hot spots, forget about that coming up.

Also, if they were running a 1/2 hour or hour program, forget about seeing some local stuff.
